For pickup orders, it is your responsibility to collect your order within a reasonable time of the estimated pickup time. We are not responsible for order quality if pickup is delayed beyond the estimated time.

Risk of loss and title for all food items pass to you upon delivery or pickup at the designated location.

7. Intellectual Property Rights

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
• LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR ANTICIPATED SAVINGS;
• DAMAGES ARISING FROM LOSS OF USE, DATA, OR INTERRUPTION OF BUSINESS;
• DAMAGES ARISING FROM THE UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
• DAMAGES ARISING FROM STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON OR THROUGH OUR SERVICES;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Jet's Pizza and its officers, directors, employees, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms or any applicable law or regulation.
• Your use or misuse of the Site, Services, or any Content.
• Your User Content or any content you submit, post, or transmit through our Site.
• Your violation of any rights of a third party, including intellectual property rights, privacy rights, or contractual rights.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate fully with us in asserting any available defenses. You agree not to settle any such claim without our prior written consent.

13. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Jet's Pizza operates, without regard to its conflict of law provisions.

To the extent permitted by law, any legal proceedings arising out of or relating to these Terms or your use of our Services that are not subject to arbitration (as provided below) shall be brought exclusively in the federal or state courts of competent jurisdiction within the United States. You hereby irrevocably consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts.

Our Services are operated from the United States. We make no representation that our Services are appropriate or available for use in other locations. Access to our Services from territories where such access is illegal is prohibited. Users who access our Services from other locations do so on their own initiative and are responsible for compliance with applicable local laws.

These Terms are also subject to applicable federal laws, including the Federal Trade Commission Act (FTC Act) governing unfair or deceptive trade practices, and other applicable federal consumer protection statutes. Where applicable, state consumer protection laws, including the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA) for California residents, may also apply.

14. Dispute Resolution

14.1 Informal Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the use of our Services ("Dispute"), you agree to first contact us and attempt to resolve the Dispute informally by sending written notice of your claim to [email protected]. We will attempt to resolve the Dispute informally within thirty (30) days of receipt of your notice. If the Dispute is not resolved within that period, either party may proceed to formal dispute resolution as described below.

14.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS AND REQUIRES THAT MOST DISPUTES BE RESOLVED THROUGH BINDING ARBITRATION RATHER THAN COURT PROCEEDINGS.

Except as otherwise provided herein, if informal resolution is unsuccessful, any Dispute shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall be conducted in English and shall take place in the United States.

The arbitrator shall have the authority to grant any remedy or relief that would be available in a court of law. The arbitrator's decision shall be final and binding upon both parties and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND JET'S PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

14.4 Exceptions to Arbitration

Notwithstanding the foregoing, the following types of claims are excluded from arbitration and may be brought in court:

• Claims for injunctive or other equitable relief to prevent the actual or threatened infringement of intellectual property rights.
• Small claims court actions, provided that the action remains in small claims court and proceeds on an individual basis.
• Claims that may not be subject to arbitration under applicable law.

15. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use our Site or Services. We reserve the right to terminate or suspend your access to the Site and Services, in whole or in part, at our sole discretion, immediately and without prior notice, for any reason, including but not limited to:

• Your breach of any provision of these Terms.
• Your engagement in any prohibited activity as described herein.
• Your failure to pay amounts owed for orders placed.
• Suspected fraudulent, abusive, or illegal activity.
• Requests by law enforcement or government authorities.
• Extended periods of inactivity of your account.

Termination of your account will not affect any orders that have already been placed and confirmed. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, limitation of liability, governing law, and dispute resolution.

If any provision of these Terms is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, unenforceable, or in conflict with applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms without affecting the validity, legality, or enforceability of the remaining provisions.

The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms. The remaining provisions shall continue in full force and effect, and the parties shall negotiate in good faith to replace the invalid or unenforceable provision with a valid and enforceable provision that achieves, to the greatest extent possible, the economic, business, and other purposes of the original provision.

18. Waiver

No waiver by Jet's Pizza of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by us to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. A waiver shall only be effective if it is in writing and signed by an authorized representative of Jet's Pizza.

19. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices, policies, or agreements published by us on the Site, constitute the entire agreement between you and Jet's Pizza with respect to your use of the Site and Services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the subject matter herein.

In the event of any conflict or inconsistency between these Terms and any other agreement or policy, these Terms shall prevail unless expressly stated otherwise in a separate written agreement signed by an authorized representative of Jet's Pizza.

20. Force Majeure

We shall not be liable or responsible to you, nor be deemed to have defaulted under or breached these Terms, for any failure or delay in our performance under these Terms when and to the extent such failure or delay is caused by or results from acts beyond our reasonable control, including but not limited to: acts of God, natural disasters, earthquakes, floods, fires, pandemics, epidemics, government actions or orders, embargoes, strikes or labor disputes, failures of third-party service providers, internet or telecommunications failures, or any other circumstances beyond our reasonable control ("Force Majeure Events").

In the event of a Force Majeure Event, we will use commercially reasonable efforts to minimize the impact on our Services and resume normal operations as soon as practicable.

By using our Site and Services, you consent to receiving electronic communications from us, including but not limited to order confirmations, receipts, promotional emails (where you have opted in), and other notices. You agree that any such electronic communications satisfy any legal requirement that communications be in writing.
